Terms and Conditions

1. About These Terms

These General Terms and Conditions (“Terms”, “Algemene Voorwaarden”) apply to all quotations, offers, agreements, and services provided by Creosoft, registered with the Dutch Chamber of Commerce (KVK) under number 97079413, VAT/BTW-id NL005247301B75, hereinafter referred to as “Creosoft”, “we” or “us”. By requesting a quote, placing an order, or engaging our services, you (“Client”) agree to be bound by these Terms.

2. Quotations and Offers

  • All quotations and offers from Creosoft are non-binding unless explicitly stated otherwise.
  • Quotations are valid for 30 days from the date of issue, unless a different period is stated.
  • An agreement is only formed once the Client has confirmed the quotation in writing (including email) or signed a proposal.

3. Scope of Services

Creosoft provides web development, custom software, AI agent development, digital marketing, and related digital services. The exact scope, deliverables, and timeline for each project are defined in the applicable quotation, proposal, or statement of work agreed with the Client.

4. Pricing and Payment

  • All prices are quoted in euros (€) and exclude 21% Dutch VAT (BTW) unless explicitly stated otherwise.
  • Unless otherwise agreed, invoices are due within 14 days of the invoice date.
  • For larger projects, Creosoft may require a deposit (typically 50%) before work commences, with the remaining balance invoiced upon delivery or in agreed milestones.
  • In case of late payment, Creosoft is entitled to charge statutory interest and reasonable collection costs in accordance with Dutch law.
  • Creosoft reserves the right to suspend services if payment is overdue.

5. Delivery and Timelines

Delivery timelines stated in a quotation or proposal are estimates made in good faith. Creosoft will make reasonable efforts to meet agreed deadlines but is not liable for delays caused by circumstances beyond its reasonable control, including delays in feedback, content, or approvals from the Client.

6. Cancellation and Refunds

  • The Client may cancel a project in writing at any time before completion.
  • Upon cancellation, the Client remains liable to pay for all work performed and costs incurred up to the date of cancellation.
  • Deposits are non-refundable once work has commenced, except where required by Dutch consumer law.
  • Consumers (non-business clients) located in the EU may have a 14-day right of withdrawal for services purchased online, unless the service has already been fully performed with the consumer’s prior express consent.

7. Intellectual Property

Unless agreed otherwise in writing, all intellectual property rights in deliverables (including code, designs, and content) created by Creosoft transfer to the Client only upon full payment of all invoices related to the project. Creosoft retains the right to use general knowledge, tools, and non-client-specific components developed during the project for other engagements.

8. Liability

Creosoft’s total liability for any damages arising from or related to an agreement is limited to the amount invoiced for the relevant project in the preceding 12 months, except in cases of intent or gross negligence. Creosoft is not liable for indirect, consequential, or incidental damages, including loss of profit, data, or business opportunities.

9. Confidentiality

Both parties agree to keep confidential any business, technical, or financial information disclosed in connection with the project, and not to share it with third parties without prior written consent, except where required by law.

10. Governing Law and Disputes

These Terms are governed exclusively by the laws of the Netherlands. Any disputes arising from or in connection with these Terms or any agreement with Creosoft shall be submitted to the competent court in the Netherlands, unless mandatory consumer protection law provides otherwise.
